Sales Terms and Conditions
ORDERS: 1st order £300 min. (New Customer*) Re-orders £100 min. (*A customer who has not placed an order in the last 12 months is considered a new customer). All prices subject to change and are invoiced at price applicable on the day the order is placed.
CARRIAGE:
Mainland UK: Under £300 ex VAT - Carriage and Packaging charge £10. Over £300 ex VAT - Carriage Paid.
Outside Mainland UK: EX Works.
DELIVERY & RISK TRANSFER: Goods are transported at the risk of the customer in all cases. Any breakages / damages / discrepancies must be notified to us within 3 days of receipt and confirmed in writing within 7 days. We cannot accept responsibility for the non-arrival of this notification within the specified time.
RETURNS: Goods may only be returned by formal agreement between the seller and purchaser. The purchaser is responsible for carriage expenses & risk.
TERMS OF PAYMENT (UK):
First Order: Pro-Forma payment.
Following Orders: 30 days net (on successful application for an account). For payments received within 10 days of invoice date, a 2% discount may be deducted.
Method: Cheque, transfer or credit/debit card.
TERMS OF PAYMENT (OVERSEAS): Payment by bank transfer or credit/debit card in advance of despatch.
DELAY OR DEFAULT OF PAYMENT: Failure to settle your account within the agreed period will automatically change your account with us back to a Pro-Forma basis. No further orders will be despatched until all amounts are settled in full. We reserve the right to terminate any trading agreements and will charge interest at 1.5% per month (variable) on all overdue accounts which will be invoiced separately when the overdue account is paid.
RESERVATION OF TITLE:
- 0.1 The Goods shall be at the Buyer's risk as from delivery.
- 0.2 In spite of a delivery having been made property in the goods shall not pass from the Seller until:
- 0.2.1 The Buyer shall have paid the price plus VAT in full; and
- 0.2.2 no other sums whatever shall be due from the Buyer to the Seller.
- 0.3 Until property in the Goods passes to the Buyer in accordance with the clause (0.2) the Buyer shall hold the Goods and each of them on a fiduciary basis as the bailee for the Seller. The Buyer shall store the Goods (at no cost to the Seller) separately from all other goods in its possession and marked in such a way that they are clearly identified as the Seller's property.
- 0.4 Until such time as property in the Goods passes from the Seller the Buyer shall upon request deliver up such goods as have not ceased to be in existence or resold to the Seller. If the Buyer fails to do so the Seller may enter upon any premises owned, occupied or controlled by the Buyer where the Goods are situated and repossess the Goods.
- 0.5 The Buyer shall insure keep insured the Goods to the full Price against 'all risks' to the reasonable satisfaction of the Seller until the date that the property in the Goods passes from the Seller, and shall whenever requested by the Seller produce a copy of the policy of insurance. Without prejudice to the other rights of the Seller, if the Buyer fails to do so all sums whatever owing by the Buyer to the Seller shall forthwith become due and payable.
DISPUTES: Any dispute will be settled under English law in the courts of London who are deemed solely competent to settle any dispute concerning the sale.
